You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. • Upload video content that you do not own or have the rights to process
• Upload video content that is illegal, harmful, obscene, or violates third-party rights
• Upload video content containing copyrighted material belonging to others without authorization
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in any activity that disrupts or interferes with our services
• Use our services for any unlawful or prohibited purpose
• Attempt to reverse engineer, modify, or circumvent our AI systems or video processing tools
• Exceed usage limits or attempt to abuse the service
• Upload excessively large files intended to overload or disrupt our processing infrastructure
• Share your account credentials or allow unauthorized access to your account

4. User Registration and Accounts

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

You represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services.

5. Video Content Ownership and Rights

Content Ownership: You retain ownership of all video files, transcripts, and generated clips. By using our services, you grant us a limited, non-exclusive license to process your video content and transcripts through our systems and third-party AI services solely as necessary to provide our services.

Content Containing Third Parties: If your uploaded video contains images, voices, or likenesses of other individuals, you are solely responsible for obtaining all necessary consents and permissions from those individuals. Soul AI LLC assumes no responsibility for your failure to obtain such consents.

AI-Generated Content: Content drafts and highlight suggestions generated by AI are provided as-is and may not be eligible for copyright protection. You are responsible for reviewing, editing, and determining the suitability of any AI-generated content before use or publication.

6. AI-Powered Video Processing and Technology

AI Service Dependencies: Our services rely on third-party providers:

• Google Gemini API: For transcript analysis, highlight identification, and content draft generation
• FFmpeg: For video clip extraction, subtitle generation, and subtitle burn-in
• Firebase: For authentication, data storage, and file storage

No Guarantee of Results: You acknowledge and agree that:

• AI transcript analysis may produce inaccurate, incomplete, or irrelevant highlight suggestions
• Timestamp identification may be imprecise, resulting in clips that start too early, too late, or contain unintended content
• Subtitle generation and burn-in may contain errors, typos, or inaccuracies
• Generated clips may vary in quality depending on the source video format, resolution, and encoding
• Content drafts are AI-generated suggestions and may be inaccurate, inappropriate, or unsuitable for your intended use
• Processing times may vary and are not guaranteed
• Source video files are deleted after processing and cannot be recovered from our systems

Content Responsibility: Users of the platform are solely responsible for reviewing all generated clips, subtitles, and content drafts before use or distribution. You acknowledge the limitations of AI-powered processing and will not hold Soul AI LLC liable for any consequences, damages, or claims arising from the use of generated clips, subtitles, content drafts, or any actions taken based on the AI analysis.

7. Video Processing and Source File Deletion

Processing Pipeline:

• You upload a video file and provide or submit a transcript
• Your transcript is analyzed by AI to identify highlight moments
• You review and optionally edit the suggested highlights
• Video clips are extracted from your source video using the identified timestamps
• Subtitles may be generated and burned into the clips
• Generated clips are stored for your download
• Your source video file is permanently deleted from our storage

We are not responsible for any loss, corruption, or damage to your video files during upload, processing, or storage. You should always maintain your own backup copies of all video files.

8. Intellectual Property

All content on the Clip AI website and application, including but not limited to text, graphics, logos, images, and software, is the property of Soul AI LLC or its content suppliers and is protected by international copyright laws. Unauthorized use of this content is prohibited.

User-Generated Content: You retain ownership of your video files, transcripts, and generated clips. However, by using our services, you grant us a limited license to process your content through our systems and third-party AI services as necessary to provide our services.

AI-Generated Content: Content drafts, highlight titles, and other AI-generated text may not be eligible for copyright protection. You are responsible for determining the intellectual property status of any AI-generated content you use or publish.

Third-Party Content in Videos: If your uploaded videos contain copyrighted music, images, logos, trademarks, or other protected content belonging to third parties, you are solely responsible for obtaining all necessary licenses and permissions. Soul AI LLC does not monitor or verify the intellectual property status of uploaded content and assumes no liability for copyright infringement.

10. Limitation of Liability

VIDEO PROCESSING LIABILITY: SOUL AI LLC SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM:

• The quality, accuracy, or completeness of AI-generated highlight analysis, clip timestamps, or content suggestions
• Inaccurate, incomplete, or erroneous transcript analysis by AI systems
• Errors, artifacts, quality degradation, or other issues in generated video clips
• Inaccurate, incomplete, or incorrectly timed subtitles generated or burned into clips
• Loss, corruption, or damage to uploaded video files during processing or storage
• Permanent deletion of source video files after clip generation
• Inability to recover deleted source video files
• Third-party AI service failures, limitations, inaccuracies, or data handling
• FFmpeg processing errors, failures, or unexpected behavior
• AI-generated content drafts that are inaccurate, inappropriate, or unsuitable
• Any use or publication of generated clips, subtitles, or content drafts by the user
• Intellectual property claims arising from content within uploaded videos or generated clips
• Privacy or publicity right violations involving individuals appearing in uploaded videos

CONTENT USE LIABILITY: SOUL AI LLC SHALL NOT BE LIABLE FOR:

• How you use, distribute, publish, or share generated clips or content drafts
• Responses, reactions, or consequences of publishing generated clips on any platform
• Platform policy violations on social media or other distribution channels resulting from use of generated clips
• Claims from third parties appearing in or related to your uploaded video content
• Copyright, trademark, or other intellectual property infringement claims related to your video content
• Reputational harm or other damages resulting from publication of generated content

MAXIMUM LIABILITY: NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SOUL AI LLC'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

You agree to defend, indemnify, and hold harmless SOUL AI LLC, including its subsidiaries, affiliates, and all of their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

• Your use of the Services
• Breach of these Legal Terms
• Any breach of your representations and warranties set forth in these Legal Terms
• Your violation of the rights of a third party, including but not limited to intellectual property rights, privacy rights, or publicity rights
• Video content you upload that infringes on third-party rights
• Individuals appearing in your uploaded video content without proper consent
• Your use, distribution, or publication of generated clips, subtitles, or content drafts
• Any actions taken based on AI-generated highlights, content drafts, or recommendations
• Copyright, trademark, or intellectual property claims related to your uploaded video content
• Any claims arising from your use of third-party AI services through our platform
• Any harm or damage to any person or property arising from your use of our services

12. Third-Party Services and APIs

Clip AI integrates with several third-party services and APIs. Your use of these services through our platform is subject to their respective terms of service:

• Google Gemini API: Subject to Google's Terms of Service and AI Usage Policies
• Google Firebase: Subject to Google's Terms of Service (Authentication, Firestore, Cloud Storage)
• FFmpeg: Open-source video processing tool used under the LGPL/GPL license

We are not responsible for any changes, limitations, or discontinuation of these third-party services.

13. Service Availability and Performance

We strive to provide reliable service but cannot guarantee:

• Uninterrupted availability of our services
• Consistent quality or accuracy of AI transcript analysis
• Availability or performance of third-party AI services (Google Gemini)
• Successful processing of all video formats, resolutions, or encoding types
• Specific processing times for video analysis or clip generation
• Compatibility with all devices or browsers
• Availability of generated clips for download at all times

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.

16. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. Upon termination, your right to use the Services will cease immediately, and we may delete your account and all associated data, including any stored video clips and session data.

Beta Service Notice: Clip AI may be in beta testing. By using our services, you acknowledge that:

• The service may contain bugs, errors, or incomplete features
• Video processing and AI analysis may produce inconsistent or unexpected results
• Performance and availability may be inconsistent
• Features and limitations may change without notice
• Data loss, video file corruption, or service interruptions may occur
• The service is provided "as is" during the beta period
